Terms of Use

Article 1: Definitions

The following definitions apply in these Terms of Use:

  • The Talentpool Community (TPC): The digital platform operated by SkillsCV B.V. for employers, accessible via www.thetalentpoolcommunity.nl
  • SkillsCV B.V.: A private company registered at Woestduinlaan 57, 3941 ZJ Doorn, Chamber of Commerce No. 77922190
  • User/Employer: A legal entity or natural person who registers on TPC for recruitment and selection purposes
  • Candidate: A user of the SkillsCV platform whose anonymized profile is available for matching
  • Matching: AI-powered linking of candidate profiles to job requirements based on skills
  • Credit: A unit in the credits system used for initiating contact with candidates
  • Subscription: Monthly access to TPC services at a fixed rate

Article 2: About The Talentpool Community

2.1 Mission and Vision

The Talentpool Community is a digital platform that helps employers and public institutions connect with job seekers through fair and efficient skill-based matching. The platform promotes equal opportunity in the labor market through anonymized profiles and data-driven matching.

2.2 Market Innovation

TPC addresses current labor market challenges such as:

  • Inefficient matching between job supply and demand
  • Discrimination based on name, age, or origin
  • Waste of recruitment resources
  • Lack of transparency in the hiring process

Article 3: Applicability

3.1 These Terms of Use apply to all use of The Talentpool Community.

3.2 By registering and subscribing, the user agrees to these terms and the accompanying privacy policy.

3.3 A signature is not required; electronic acceptance is legally binding.

3.4 These terms may be amended in accordance with Article 12.

Article 4: Matching and AI Technology

4.1 Matching Process

4.1.1 TPC uses AI technology to:

  • Match candidate skills to job requirements
  • Calculate suitability scores
  • Provide employer recommendations
  • Optimize search results

4.1.2 The matching algorithm considers:

  • Skills and competencies
  • Experience and education level
  • Availability and preferences
  • Location and commuting distance (if relevant)

4.2 AI Transparency (per EU AI Act)

4.2.1 Risk Classification: Limited risk under Article 52 of the EU AI Act

4.2.2 Transparency Obligations:

  • General matching criteria are available upon request
  • Users are informed about the use of AI systems
  • Significant algorithm changes will be communicated
  • Bias monitoring and fairness audits are conducted regularly

4.2.3 Human Oversight:

  • Final candidate selection remains a human decision
  • Employers can review and adjust matching results
  • No fully automated decisions with legal consequences are made

4.3 Limitations

4.3.1 TPC does not guarantee:

  • Complete or perfect accuracy of matches
  • Availability of suitable candidates
  • Candidate responses to contact requests
  • Successful recruitment or placement

Article 5: Services and Features

5.1 Access to Candidate Database

  • Anonymized profiles of SkillsCV users
  • Advanced search and filtering options
  • Real-time matching results
  • Candidate availability information

5.2 Communication Tools

  • Send invitations to candidates of interest
  • Messaging system for initial communication
  • Integration with external ATS/HR systems (where available)

5.3 Analytics and Reporting

  • Matching statistics and performance indicators
  • Recruitment dashboards and trend insights
  • Market insights and benchmarking tools

5.4 Prohibited Use Users may NOT use the platform for:

  • Discriminatory job postings or recruitment practices
  • Misleading or false job information
  • Disrupting platform functionalities
  • Violating candidate privacy
  • Illegal or unethical purposes
  • Spam or unsolicited communication
  • Infringing intellectual property rights

Article 6: Pricing and Credit System

6.1 Subscription Fees

6.1.1 Standard Rate: €99 per user/month (excluding VAT) 6.1.2 Alternative rates may apply for:

  • Multi-year contracts
  • Enterprise clients with high volumes
  • Non-profit organizations
  • Government agencies

6.2 Credit System

6.2.1 Earning Credits:

  • 1 credit per candidate referred by the employer and successfully registered on SkillsCV
  • Bonus credits for active network expansion
  • Promotional credits during campaigns

6.2.2 Using Credits:

  • 1 credit for contacting a candidate after positive response
  • Credits may be required for accessing full profiles
  • Premium features may carry variable credit costs

6.2.3 Fair Use Policy: Reasonable use applies. Excessive usage may result in additional charges or restrictions.

6.3 Future Developments

Article 7: Payment and Invoicing

7.1 Payment Methods

  • Direct debit (SEPA)
  • Bank transfer
  • Credit card (if available)
  • Other methods as supported by the platform

7.2 Billing Cycle

  • Monthly invoicing in advance
  • Digital invoices via email
  • Payment term: 14 days from invoice date

7.3 Payment Delays

  • Reminder after 14 days
  • Second notice after 30 days
  • Service suspension after 45 days
  • Contract termination after 60 days

Article 8: Duration and Termination

8.1 Contract Duration

8.1.1 DThe agreement is valid indefinitely unless otherwise agreed 8.1.2 Trial periods may apply to new users

8.2 Termination by User

8.2.1 Monthly termination with one (1) month notice

8.2.2 Cancellation via:

  • Account settings on the platform
  • Written notice to [email protected]
  • Phone (with written confirmation)

8.3 Termination by TPC

8.3.1 Grounds include:

  • Non-payment (after 60 days)
  • Serious violations of terms
  • Abuse of platform or services
  • Bankruptcy or suspension of payment

8.3.2 For minor violations, a 14-day remedy period applies

8.4 Data Handling After Termination

8.4.1 Immediately upon termination:

  • Platform access revoked
  • Active matches discontinued
  • New contact requests blocked

8.4.2 Within 30 days:

  • User data deleted (subject to legal retention)
  • Data export available upon request
  • Communication logs archived

8.4.3 Exceptions:

  • Legal retention (e.g., tax: 7 years)
  • Anonymized statistics may be retained
  • Dispute-related data retained until resolved

Article 9: Intellectual Property

9.1 Own dome rights TPC

All rights to the platform, technology, content and data processing belong to SkillsCV B.V.

9.2 Rights of use

Employers receive a non-exclusive, non-transferable licence for use during the contract period.

9.3 Beperkingen

Use other than for the intended recruitment purpose is not allowed without written permission.

9.4 Vacature-content

Employers retain ownership of their job information but grant TPC usage rights for matching and platform functionalities.

Article 10: Liability

10.1 Limited Liability of TPC

10.1.1 TPC aims to provide reliable services. Liability is limited to the total subscription fees paid in the three (3) months preceding the incident.

10.2 Excluded Liability

TPC is not liable for:

  • Candidate quality, suitability, or availability
  • Accuracy of matching results
  • Candidate behavior or performance
  • Successful hiring or placement
  • Third-party technical issues
  • Indirect or consequential damages
  • Loss of data, contracts, or opportunities
  • Unauthorized account use

10.3 Force Majeure

10.3.1 TPC is not liable for:

  • Natural disasters, extreme weather
  • Pandemics and government restrictions
  • Cyberattacks and system outages
  • Strikes or labor disputes
  • Supplier failures
  • Other events beyond reasonable control

10.4 User Indemnity

10.4.1 Users indemnify TPC from third-party claims arising from:

  • Violations of these terms
  • Discriminatory recruitment practices
  • Infringing intellectual property rights
  • Labor law violations
  • Unlawful treatment of candidates

10.5 Exceptions to Limitations

Liability limitations do not apply in cases of:

  • Intent or gross negligence by TPC
  • Breach of privacy obligations
  • Statutory liabilities that cannot be excluded
  • Personal injury or death

Article 11: Privacy and Data Protection

11.1 Personal data is processed in accordance with TPC’s Privacy Policy.

11.2 Core Principles:

  • Candidate anonymity until explicit consent
  • Minimal data processing for service provision
  • Secure storage and data transmission
  • Transparency about AI matching processes

11.3 Employer Responsibilities:

  • Respect candidate anonymity
  • Comply with anti-discrimination laws
  • Handle candidate data with care
  • Report any data breaches

Article 12: Amendments to Terms

12.1 TPC may amend these terms due to:

  • Legal requirements
  • Technological developments
  • Service improvements
  • Market conditions

12.2 Procedure:

  • Users will be informed at least 30 days in advance
  • Notice via email and platform notifications
  • Major changes will be explained clearly

12.3 Acceptance:

  • Continued use after effective date constitutes acceptance
  • Users may cancel at no cost within 30 days if they object
  • New terms do not apply to ongoing disputes

Article 13: Dispute Resolution

13.1 Dutch law applies to this agreement.

13.2 Parties agree to seek mediation before taking legal action.

13.3 The competent court is the District Court of Midden-Nederland (Utrecht), unless otherwise required by law.

13.4 Disputes under €5,000 may be submitted to the district court in the user’s place of residence.

Article 14: Miscellaneous

14.1 If any provision is null or void, the remaining provisions remain in full force.

14.2 TPC may transfer its rights and obligations to third parties with 30 days’ notice.

14.3 These terms constitute the entire agreement between parties.
